HSFU LLC provides computer systems design and IT services, including but not limited to systems architecture and design, IT consulting, software engineering, cloud infrastructure and DevOps, cybersecurity solutions, and technical support services. The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate statement of work, service agreement, or contract between HSFU LLC and the client. Information about our services provided on this website is for general informational purposes and does not constitute a binding offer or guarantee of service availability. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, subject to the terms of any active service agreements.

Fees for HSFU LLC services will be as specified in the applicable service agreement or statement of work. Unless otherwise agreed in writing, invoices are due and payable within thirty days of the invoice date. Late payments may be subject to interest charges at the rate of one and one-half percent per month or the maximum rate permitted by applicable law, whichever is less. The client is responsible for all applicable taxes, duties, and levies associated with the services, excluding taxes based on HSFU LLC net income. HSFU LLC reserves the right to suspend or terminate services for non-payment after providing reasonable written notice. All fees are non-refundable unless otherwise specified in the service agreement or required by applicable law.
To the maximum extent permitted by applicable law, HSFU LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, our website or services. In no event shall HSFU LLC total aggregate liability for all claims arising out of or relating to these terms or the services exceed the amount paid by you to HSFU LLC during the twelve months preceding the event giving rise to the claim. The limitations of liability set forth in this section apply to the fullest extent permitted by law in the applicable jurisdiction and shall apply regardless of the legal theory upon which the claim is based.
You agree to defend, indemnify, and hold harmless HSFU LLC, its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from or related to your use of our website or services, your violation of these terms, or your violation of any third-party rights. This indemnification obligation includes any claims that your content or use of our services infringed or violated the rights of any third party. These Terms of Service and any disputes arising out of or related to these terms or the services provided by HSFU LLC shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these terms shall be brought exclusively in the state or federal courts located in the State of Utah, and you consent to the personal jurisdiction and venue of such courts. Before initiating any formal legal proceedings, the parties agree to first attempt to resolve any dispute through good-faith negotiation for a period of at least thirty days. If the dispute cannot be resolved through negotiation, the parties may pursue binding arbitration or litigation as permitted by applicable law.
HSFU LLC may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason, including if you breach these terms. Upon termination, your right to use our website and services will immediately cease. If any provision of these terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms shall otherwise continue in full force and effect. The failure of HSFU LLC to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
